All Designs by Little Valley Studio LLC., are protected by USA copyright laws. Little Valley Studio LLC., owns all rights, including the copyrights to the Design Assets. 

Little Valley Studio LLC., reserves the right to make changes to these terms of the License agreement.

END USERS LICENSE AGREEMENT: 

PERSONAL LICENSE

This License Agreement permits only Non-commercial use of the Licensed Asset; all Commercial use is expressly prohibited. Non-commercial” use is a use for solely personal purposes and non-business related; any use that meets the definition of “Commercial use” can not be a Non-commercial use.

Little Valley Studio LLC., hereby grants you a non-exclusive, non-transferable worldwide, right to use the Design Asset in the following ways, subject to the limitations set out in Section 2 and 3.

• Physical and Digital Products for Non-Commercial Use: Licensee may create physical or digital end products not for resale or wholesale such as, but not limited to, cards, invitations, stickers, photo albums, e-books, mugs, stamps, posters, signs, home decor, etc. for Non-commercial use only.
• Product Packaging for Non-Commercial Use: Licensee may create physical or digital end packaging products for Non-commercial use such as, but not limited to, labels, stickers, etc. for Non-commercial use only.

1.2 Personal Social Media for Non-Commercial Use

• Personal Social Media for Non-Commercial Use: One personal or individual social media account (not on a company or business social media page) for Non-commercial use.

2. PROHIBITED USES (these uses may be available with a commercial, enhanced, or extended license)

2.1 End Products

•  All End Products for Commercial use (including, without limitation, physical products, product packaging, digital products, or digital or print publications) are prohibited.
• On-Demand Applications (Such as Print-on-Demand and Create-on-Demand Services) for Commercial Use or Non-Commercial Use are prohibited. Any use that allows anyone other than the Licensee, such as an end user to customize a digital or physical end product is prohibited.

2.2 Social Media, Marketing, and Advertisements

• Company Social Media is prohibited
• Physical (Printed, Paid or Unpaid) Advertisement
• Digital (Paid or Unpaid) Advertisements

2.3 Digital Development

• Website Software Development, Mobile App Development, Desktop Application Development, Video Game Development, Website Themes for Sale

2.4 Trademark and Copyright

• Design Asset may not be used as part of a trademark, service mark, design mark, trade-name.
• Licensee may not claim the Design Asset (or a modification thereof) as its own copyrighted work

2.5 Future Technologies

• The license is limited to the expressly permitted uses stated in this License Agreement: future-existing technologies and uses are reserved and not included within the scope of the license.

3. STRICTLY PROHIBITED USES 

3.1 Resale, Redistribute, Sub-Licensing the Design Asset or any modification of it in source file form.

3.2 Resale or Sub-Licensing of the Design Asset or any modification of it in a way that is directly competitive with the original Design Asset (e.g., as a stock asset).

3.3 Making public or sharing the Design Asset in any way that allows others to download, extract, or redistribute Design Asset as a standalone file (meaning just the content file itself, separate from the project or end use that is expressly permitted).

3.4 Use the Licensed Asset in pornographic, fraudulent, immoral, infringing, illegal, harassing, offensive, or defamatory material.

3.5 Falsely representing authorship and/or ownership of the Design Asset.

3.6 Any other use that is not expressly permitted in Section 1 (Permitted Uses).

4. TERMINATION

4.1 This License may be terminated immediately by written notice if Licensee breaches this Licence Agreement which they fail to remedy (if remediable) within 7 days after the service of written notice(email) requiring you to do so.

4.2 Upon termination of the license for any reason:

• All rights granted to you under this Licence shall cease
• Licensee must immediately cease all activities authorized by this Licence

5. WARRANTIES

Licensee’s use of the Design Asset is at Licensee’s own risk. The Design Asset is provided on an "As is" and "As available" basis, without any warranties of any kind, either express or implied.

6. LIMITATION ON LIABILITY

In no event will Little Valley Studio LLC., its affiliates or their licensors, service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with this license agreement, including, without limitation, your use, or inability to use, the licensed asset, including any indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), intellectual property infringement, breach of contract or otherwise, even if foreseable. In no event will the liability of Little Valley Studio LLC., service providers, employees, agents, officers or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with this license agreement, including, without limitation, your use, or inability to use, the licensed asset. The foregoing does not affect any liability which cannot be excluded or limited under applicable law.

PLEASE NOTE, End Products with Commercial License CANNOT be used "AS IS" for products for sale with this license. The Design Asset must be incorporated into your own unique design. End Products for personal branding purposes, such as business cards, website banners, thank you cards, social media posts and business-related packaging design, can be used "AS IS" for these purposes.

• Quantity Limitations on End Products for Commercial Use: No more than 5,000 lifetime combined individual end products or packaging (digital or physical) sales, instances, impressions, or installations (as applicable) that incorporate the Design Asset.

1.2 Social Media, Marketing, and Advertisements

• One personal or one business social media account.
• Physical (Printed) Advertisements in a Local Market
• Digital Advertisements: Internet advertisements such as advertisements served by Google Ads, Pinterst Ads, Facebook Ads, etc. No limit on the number of impressions of advertisements incorporating the Design Asset.

2. PROHIBITED USES 

2.1 End Products

• On-Demand Applications (Such as Print-on-Demand and Create-on-Demand Services). Any use that allows anyone other than the Licensee, such as an end user, to customize a digital or physical end product is prohibited, whether for Commercial use or Non-commercial use. This includes, but is not limited to, “print on demand”, “made to order”, or “download on demand” application. 

2.2 Social Media, Marketing, and Advertisements

• Physical (Printed) Advertisements In National or Global Markets

Selling a planner including the Design Asset on the cover "As is" is permitted because there is value in the End Product beyond the Design Asset.
